CoinShares plans to debut on Wall Street via a $1.2 billion SPAC merger with Vine Hill Capital Investment Corp.

With almost $10 billion in assets under management and a 34% market share in Europe, the Middle East, and Africa, CoinShares is currently the fourth-largest manager of crypto ETPs, behind only BlackRock, Greyscale, and Fidelity.

With the $1.2 billion SPAC acquisition, CoinShares will delist from Stockholm and list on the U.S. Nasdaq, providing U.S. investors with direct access to a digital asset management company that has long been a dominant force in the international market.

The CoinShares Deal Details

Under the terms of the merger, all CoinShares shares plan to exchange for ordinary shares in the new public entity, Odysseus Holdings Limited, which will replace Vine Hill as the listed vehicle on the U.S. Nasdaq.

Shareholders should receive a premium of around 30.6% above CoinShares’ last trading price in Sweden. The deal structure, a mix of ordinary shares and options converted or assumed by the new entity, aims to maximize continuity for existing stakeholders while unlocking U.S. market liquidity and capital access.

CoinShares plans a $50 million private placement at $10.04 per share to institutional investors, with an extra allocation of shares as an incentive, further boosting capital reserves for aggressive growth and M&A activity across both the U.S. and EMEA. Shareholders could collectively hold up to 91.6% of the new public company after completion.

Timeline For The Merger 

Odysseus Holdings plans to start public trading in the United States as soon as the merger closes, subject to shareholder and regulatory clearances, in mid-December 2025.

CoinShares’ prominence is raised by this cross-border move, which also lays the groundwork for future innovation, growth, and the merging of digital and traditional finance in the world’s biggest capital market.

With its SPAC-powered U.S. listing, CoinShares stakes its claim as a global leader in digital asset management and gives Wall Street a front-row seat to the continued evolution of crypto investing.
